Bingham represented Agero Inc. in connection with the sale of its connected-vehicle division to satellite-radio broadcaster SiriusXM Radio Inc. for $530 million in cash. Agero’s connected-vehicle division provides vehicle telematics services, including security, safety, content and other technologies, to a blue-chip stable of clients including Acura, BMW, Honda and Hyundai.
Agero and Sirius have signed a stock purchase agreement; the transaction is expected to close in the fourth quarter of 2013. The closing will mark the end of a sale process that began in the summer of 2012. Bingham also represented Agero when it purchased the connected-vehicle business in 2008.
