Simpson Thacher is representing China National Chemical Corporation in connection with its agreement to acquire the Swiss agrochemical and seeds company Syngenta AG (NYSE: SYT; SWX: SYNN) by way of a public tender offer to be launched concurrently in Switzerland and the U.S. for all of Syngenta’s common shares listed on the SIX Swiss Exchange and ADS listed on the NYSE. The intended offer values Syngenta’s total outstanding share capital at approximately $43 billion, which represents the largest foreign acquisition by a Chinese company.
