Clifford Chance advised Illinois Tool Works Inc. (ITW), Glenview (Illinois/USA), on its takeover of the Meurer-Group, Fürstenau (Germany). ITW acquired all shares in Meurer Verpackungssysteme GmbH and in Meurer Elektro- und Steuerungstechnik GmbH (including four subsidiaries). The consummation of the transaction is subject to its approval by the Federal Cartel Office.
The Meurer-Group develops, manufactures and distributes high-quality grouping packaging machines, primarily for the beverages, foodstuffs and pharmaceutical industries, and generated sales of approximately EUR 70 million with its approximately 600 employees in 2012.
ITW is a listed US conglomerate with currently approximately 800 group companies. ITW's annual sales in 2012 totalled approximately USD 18 billion.
