Clifford Chance advises GROHE on the full ownership of Grome

Clifford Chance advised GROHE AG on the acquisition of the remaining 50 percent stake in the Joint Venture Grome Marketing (Cyprus) Limited from Mesma Holdings Ltd.. Until then both companies had held half the stake in Grome each. With this acquisition, GROHE takes full ownership and control of Grome. Grome was formed in 1983 by Juergen Lorenz as an exclusive agency for GROHE products covering the Middle East, the East Mediterranean and North and West Africa. In 1993, GROHE acquired 50% of Grome.

GROHE is the world’s leading provider of sanitary fittings. Since 2014 GROHE is part of the LIXIL Group Corporation, a publicly listed company on the Tokyo Stock Exchange. Clifford Chance had also advised GROHE Group during the acquisition by the Japanese producer of sanitary ware.

The Clifford Chance team was led by partner Dr. Jörg Rhiel and comprised of counsel Dr. Andreas Dietzel, senior associate Susanne Werry, associate Schirin Drewell and senior transaction lawyer Ömer Cilingir (all Corporate, Frankfurt) as well as partner Marc Besen (Brussels/Düsseldorf) and associate Anne Filzmoser (Düsseldorf, both Antitrust). Lawyers from the Clifford Chance offices in Istanbul and Dubai as well as from Abuhimed Alsheikh Alhagbani Law Firm in Saudi Arabia also worked on the transaction.
