CMS has advised SDAX-listed Capital Stage, a Hamburg-based solar and wind farm operator, on agreeing a long-term strategic partnership with insurer Gothaer Versicherungen.
A team led by lead partner Oliver Dreher advised the company on all legal aspects of structuring and implementation. CMS also worked on the two previous capital increases and the payment of a scrip dividend by Capital Stage AG.
Under the terms of the strategic partnership, Gothaer Versicherungen will provide investment funding totalling EUR 150 million. The funds will be made available to CSG IPP GmbH, a wholly-owned subsidiary of Capital Stage AG, as profit-sharing rights with a term of 20 years. They are earmarked for financing future acquisitions of solar parks.
Capital Stage AG currently operates a portfolio of solar and wind farms in Germany, France and Italy with a total capacity of around 313 MWp.
