Cologne – Axion Holding GmbH, a Hamburg-based specialist in advising on, operating and managing properties for senior citizens, has sold seven existing care homes to three companies belonging to the Orpea Group of France. In addition, the Orpea Group will operate a joint venture for premium residential retirement accommodation together with Axion founder Nikolaos Tavridis.
A CMS team headed by lead partners Heinz-Joachim Kummer and Dr Malte Bruhns advised Axion on all legal aspects of the transaction structure, contract negotiations, joint venture formation, the legal documentation and the filings required under competition law. The Axion Group is a longstanding CMS client.

France’s Orpea Group was established in 1989 and has been listed on Euronext Paris since April 2002. It is a world-leading company for integrated long-term care and for post-hospital curative treatment. In Germany, Orpea operates 165 care facilities with a total of 17,422 beds.
