Frankfurt/Main - On December 29, 2017, VTB Group completed the realignment of its European operations. VTB Bank (Europe) SE was established through the cross-border merger of VTB Bank (Austria) AG into VTB Bank (Deutschland) AG and the subsequent cross-border merger of VTB Bank (France) SA into VTB Bank (Europe) SE, which now operates under a single banking license.
An international CMS-team led by CMS Germany advised VTB Bank comprehensively on this complex transaction.
The centralization will allow the bank to make its entire product portfolio available to all clients across Europe. In doing so, VTB Group is among the first banks in Europe, and is the first Russian bank, to concentrate its organizational structure in a Societas Europaea (SE).
VTB Bank (Europe) SE is a universal bank with a focus on international clients and with a market capitalization of RUB 658.4 billion (9.6 billion Euro). Its head office is in Frankfurt am Main and a branch will be maintained in Vienna. The Paris office has been closed. VTB Direktbank will continue to be a part of the VTB Bank (Europe) SE.
