DAC Beachcroft Advises on Brace of Deals for AIM-listed Technology Clients

International law firm DAC Beachcroft LLP has advised Redcentric plc on its £65m acquisition of InTechnology Managed Services Limited from InTechnology plc and Redstone plc on the £9.5m disposal of its infrastructure, data centre and smart-building solutions business.

The InTechnology acquisition, coupled with the associated raise of £64m from institutional investors in a heavily over-subscribed placing and Redcentric's re-admission to AIM, moves Redcentric into the premier tier of independent managed services business in the UK, providing voice, data, software, hosting and network services. The advent of Cloud computing and increased demand from customers to be able to access data and applications from a variety of devices offers an opportunity that the Redcentric board believes the Company will be well placed to exploit. Redcentric's shares rose 8% on the news.

London Corporate partner Matthew Darling led a core team that also included John Dunlop, Michelle Jones, Holly Buckley, Philip Walton and Lucy Tyrrell.

Meanwhile, the same DAC Beachcroft team has advised longstanding technology client Redstone plc on the sale of Comunica Holdings Limited to Coms plc.

Under the terms of the deal, which was announced on 5 November and remains subject to shareholder approval, Redstone will change its name to Castleton Technology plc. Castleton will focus on software support and consultancy post-closing, through the retained business in the Maxima Information Group.

This is the second significant deal on which DAC Beachcroft has acted for Redstone in 2013, the firm having earlier advised the company on the £54m demerger of its Network-Based Managed Services Business by means of a Court-sanctioned scheme of arrangement.
