Dechert advised Kofax Limited, a leading provider of smart process applications for the business critical First MileTM of customer interactions, on its reorganization proposals to create a new holding company incorporated in Bermuda with a premium listing on the London Stock Exchange and a listing on the NASDAQ Global Select Market.
The reorganization was carried out in the UK by means of a court-led scheme of arrangement under Part 26 of the UK Companies Act 2006. A prospectus in relation to Kofax Limited was published at the end of November 2013, following approval and filing with the Financial Conduct Authority. Canaccord Genuity acted as sponsor for the new listing.
Kofax Limited filed a registration statement with the U.S. Securities and Exchange Commission for a proposed initial public offering (IPO) of up to 2,300,000 common shares on NASDAQ. Craig-Hallum Capital Group LLC acted as the sole underwriter for the offering.
