Dentons has advised Fidelio Healthcare on the takeover of Mundipharma’s production site in Limburg, Germany. Under the terms of the transaction, Fidelio Healthcare will acquire the production site, the production facilities and the majority of employees from Mundipharma Limburg. Fidelio Healthcare plans to make strategic changes to the production site and further expand operations, and in doing so, will preserve approximately 100 jobs. The agreement was signed on February 20, 2018. Closing of the transaction is subject to approval by the competent antitrust authorities.
Fidelio Healthcare, based in Seefeld, Bavaria, was founded in 2015 and provides worldwide consultancy services to the healthcare and life sciences industry. The acquisition of Mundipharma’s production facilities will allow Fidelio to manufacture its own pharmaceutical products on a make-to-order basis for other companies. Mundipharma will retain ownership in the medical products currently produced at the Limburg site.
Mundipharma engages in pharmaceutical research to develop highly effective drugs offering maximum compatibility. Not only through its own products but also through promising co-operations Mundipharma enables a growing number of patients to gain access to innovative therapies.
A Dentons team, led by Munich-based partner Thomas Strassner, advised the buyer especially on the corporate, employment, tax, real estate, regulatory and antitrust law aspects of the transaction. Strassner has been the legal adviser to Fidelio Healthcare since its establishment in 2015.
