Dentons’ Berlin office has advised Johanniter GmbH on the acquisition of Evangelisches Krankenhaus Bethesda Mönchengladbach gGmbH in Germany. Up until now, the hospital was led by three evangelic congregations in Mönchengladbach as shareholders. The share purchase agreement has been entered into on December 18, 2013. Closing of the transaction will require the fulfillment of several conditions, including the approval of the Federal Cartel Office, and will probably occur within the next weeks.

The Bethesda-Hospital has 350 beds and employs about 400 staff members; its subsidiary employs an additional 150 employees.

During this current acquisition, the advisory team of Dentons, led by Partner Dr. Christof Kautzsch, supervised all main transaction relevant legal matters on behalf of the buyer. The latest is with the sale of company shares of hospital holdings in Bad Belzig and Radevormwald as well as the acquisition of company shares of minority shareholders of the Evangelische Kliniken Johanniter- und Waldkrankenhaus Bonn gGmbH.
