DLA Piper has advised Geofabrics Australasia Pty Ltd on a series of transactions involving the following elements:
- A purchase from Officine Maccaferri S.p.A. of the remaining minority interests in its existing subsidiaries, Maccaferri Australia Pty Limited and Maccaferri N.Z. Limited (now Geofabrics New Zealand Limited);
- A sale of assets to Bekaert Maccaferri Underground Solutions BVBA, a Belgian joint venture vehicle in which Officine Maccaferri S.p.A. has an interest; and
- Re-negotiation of the distribution arrangements in place between Geofabrics Australasia Pty Ltd, Officine Maccaferri S.p.A., Maccaferri Australia Pty Limited and Maccaferri N.Z. Limited (now Geofabrics New Zealand Limited).
The Geofabrics group is a leading supplier of geosynthetic products to the Australian engineering and resources sectors, and its products are used widely in road and railway construction, mining and resources projects, landfill and coastal engineering applications. Beyond the Australian market, the Geofabrics group also supplies products internationally and is continuing to develop its established network of distribution partners around the world.
