DLA Piper advises joint venture between Samsung Heavy Industries and Ladol

DLA Piper has acted for Samsung Heavy Industries (SHI) and its subsidiary Samsung Heavy Industries Nigeria Limited (SHIN), in forming a joint venture partnership with Lagos Deep Offshore Logistics Base (LADOL) to develop a Marine Fabrication and Integration Yard Facility near Lagos in Nigeria.

SHIN and LADOL shall jointly invest to develop a new Marine Fabrication and Integration Yard Facility in LADOL Free Trade Zone in Lagos in connection with the Egina Floating Production Storage and Offloading (FPSO) contract, valued in excess of US $3 billion, previously awarded to SHIN.

DLA Piper's Energy and Infrastructure team, led by partner Dimitri Papaefstratiou, acted for SHI and SHIN in connection with the negotiation and preparation of the Project Documents (including the Engineering, Procurement and Construction (EPC) contract) and Finance Documents.

The DLA Piper Corporate team, led by partner Christopher Baird, acted for SHI and SHIN in connection with the Shareholders' Agreement. Dimitri and Chris were assisted by Raluca Petrea, Jessica Hogan, Kirsty Law and Ji-Whan Bang.

Construction partner Stephen Haller and legal director Corinne McCarthy assisted SHIN in relation to the negotiation of the EPC contract, under which SHIN shall act as contractor for the building of the Marine Fabrication and Integration Yard Facility at the LADOL Free Trade Zone.

DLA Piper's Litigation and Arbitration team, led by partners Jeremy Andrews and Kate Cervantes-Knox acted for SHI and SHIN in relation to the business conflict between SHIN and LADOL. They were assisted by Paul Smith, Elinor Thomas, and Amy Billing.
