DLA Piper advises OSI Group on its acquisition of the majority of the shares in Baho Food Group

DLA Piper has been advising US-based OSI Group on its acquisition of the majority of the shares in Baho Wijchen B.V., a holding company of the Baho Food Group, from Grinding Holdings N.V. The transaction has been successfully completed, following its clearance by the competent cartel offices.

Baho Food, a privately owned German-Dutch group of companies, which includes the subsidiaries Baho Food GmbH, Gelderland Frischwaren Gesellschaft mbH, Vital Convenience vc GmbH, Vleeswarenfabriek Henri van de Bilt B.V., Bekx Foods B.V. and Q Smart Life B.V., produces markets and sells meat products, ready meals and snacks throughout Europe.

The globally operating OSI Group from Aurora, Illinois is one of the world’s leading suppliers of meat products for the retail food trade and supplies leading companies from the food service industry. Through the acquisition of the majority shareholding in the Baho Food Group, the OSI Group is strengthening its position on the European market for meat and convenience products and is extending its product portfolio as well as its capacities in slaughtering operations and in the further processing of meat products.

A German-Dutch M&A team from DLA Piper advised on the cross-border due diligence and successfully supported the purchase and the negotiations.
