DLA Piper has advised ProSiebenSat.1 Media AG on the acquisition of a majority holding in Sonoma Internet GmbH (Amorelie).
Sonoma Internet GmbH headquartered in Berlin operates an online lifestyle shop selling stylish designer products .
In an initial step, ProSiebenSat.1 Media AG acquired a minority holding in Sonoma Internet GmbH from SevenVentures GmbH, the corporate venture capital company of ProSiebenSat.1 Media AG, before securing further shares in the business during a second step in order to gain a majority holding. The management will retain a stake in the company.
The transaction was controlled centrally from the legal department of ProSiebenSat.1 Media AG led by Senior Legal Counsel Corporate Law M&A, Dr Philipp Storm. DLA Piper acted as advisors for the transaction from the process of due diligence through to the signing and provided support for ProSiebenSat.1 Media AG for the first time in an M&A assignment.
