DLA Piper advises Rolls-Royce Power Systems on joint venture with Force Motors in India

DLA Piper has advised Rolls-Royce Power Systems AG on its joint venture (JV) with India- based automobile manufacturer Force Motors. The joint venture will be established between Force Motors and Germany's MTU Friedrichshafen, which is an arm of Rolls-Royce Power Systems AG. Force Motors will hold a 51 percent stake and Rolls-Royce Power Systems 49 percent. Overall, the parties are investing more than €40 million in the JV in proportion to their respective stakes.

The new joint venture will be named 'Force MTU Power Systems Private Limited' and will produce MTU’s renowned 10 and 12-cylinder Series 1600 units, with power outputs from 545 to 1,050 HP (400 to 800 KWm). Series 1600 engines are particularly suitable for power generation and rail underfloor applications. Besides manufacturing Series 1600 units, the JV will also build Series 1600 generator sets for the Indian and global markets. The JV will handle sales and service of Series 1600 generator sets for end users in India, Nepal and Sri Lanka territory, while Rolls-Royce Power Systems will handle sales and service in Rest of World territory.

The Rolls-Royce Power Systems in-house team was led by Ben Horsley, Rolls-Royce plc's Chief Counsel M&A, and Dr Thomas Karst, General Counsel, Rolls-Royce Power Systems.

The Hamburg-based DLA Piper team was led by Country Managing Partner in Germany, Dr Benjamin Parameswaran, assisted by Corporate associate, Sophie von Mandelsloh. In Frankfurt, Intellectual Property and Technology partner, Dr Burkhard Führmeyer, and senior associate, Moritz Schönpflug, supported the team. In India, DLA Piper worked alongside the law firm Cyril Amarchand Mangaldas, under the lead of partner Smruti Shah.
