DLA Piper's Sheffield Corporate team has advised South Yorkshire manufacturing company, Naylor Industries, on two transactions in two weeks.
On 5 July, Naylor Drainage acquired Wath-on-Dearne based plastic extrusion business Amco Plastics Ltd which currently has a turnover of £4.4m. This transaction follows Naylor Gardenware's acquisition, on 24 June, of ceramic gardenware business Clough Mill.
Naylor is a fourth generation family business based in Barnsley, South Yorkshire; the company has manufactured pipes in clay and latterly also in plastic since its formation in 1890. Naylor’s Specialist Plastics division, based in the Midlands, extrudes plastic tubes and profiles in a wide range of materials and colours for a broad range of sectors and applications including dewatering, ground stabilisation and packaging tubes.
Amco Plastics is a long-established and similarly diverse manufacturer of plastic extrusions and flexible ducting supplying a wide range of sectors including the leisure, cable, flooring, DIY, mining and tunnelling sectors.
The business will remain on its current site in Wath and will trade as a division of Naylor’s Specialist Plastics business. Amco Plastics Ltd’s former joint MD Chris Simon will continue to work with Naylor, supporting Naylor Divisional MD John Grice in the integration of Amco into the Naylor family.
Clough Mill, based in Cirencester, Gloucestershire imports high quality frostproof and beautifully glazed garden pots from their factory in Ipoh, Malaysia. Naylor has acquired the manufacturing, importing and distribution of this highly regarded brand.
The DLA Piper team was led by partner Richard May who was assisted by senior associate Paul Roberts and associate Lorna Parkin.
Richard May commented: "Naylor Industries is a valued client of the firm and we are very pleased to have been able to support such an excellent local company in the expansion of its business since its recent award winning MBO. Despite the economic slowdown, the manufacturing sector in South Yorkshire continues to thrive and we hope to see more companies in the area adding to their portfolios."
