Eversheds Sutherland acts for Virtus Health on strategic purchase of IVF clinic from the NHS Trust.

22 Mar 2018

Eversheds Sutherland Ireland are delighted to build upon our long-standing relationship with the Australian listed IVF Group,  Virtus Health, on its conditional acquisition of the IVF unit operated by Complete Fertility Clinic at the University College Hospital, Southampton.  The Australian stock exchange filing is attached below.

The transaction represents the strategic purchase of assets from the NHS Trust and will involve Virtus working with the NHS/the Sellers in respect of the on-going operation of the clinic.  The transaction is structured by way of an investment into Complete Fertility Limited which is the intended acquirer of the IVF clinic.  The transaction represents the first substantive investment by the Virtus group into the UK market which builds on previous transactions in the European market such as the acquisition of the  Sims and Hari clinics in Dublin, the development of the Sims Clinic in Cork and the acquisition of the Aagard Clinic located in Aarhus, Denmark.

Given the complexity of the transaction the Eversheds Sutherland team, led by Gavin O’Flaherty, Corporate Partner, was supported by an extensive team both here in Ireland and the UK, which again demonstrated our unrivalled ability to support, lead and complex transactions across various jurisdictions.

The team in Eversheds Sutherland Ireland included Amy McDermott, Corporate and Marie McGinley and Rosalind Deane on Data Protection.

In the UK the team was led by Steven Hacking, Corporate Partner, supported by Owen Llewellyn, Mark Rand, Jessica Saffell, Amanda Smith, Gary Delderfield, Matthew Hanley, Alec Bennett, Jackie Heeds and Dave Hughes
