Eversheds Sutherland advises Hörmann Industries with regard to the complete acquisition of Hörmann Automotive Gustavsburg from MAN Truck & Bus

14 Jul 2017

The global law practice Eversheds Sutherland advises the listed Hörmann Industries group with regard to the intended complete acquisition of Hörmann Automotive Gustavsburg GmbH.

For this purpose, Hörmann Automotive GmbH, a wholly-owned subsidiary of Hörmann Industries GmbH, and MAN Truck & Bus AG have signed an agreement to completely dissolve the joint shareholding relationship for Hörmann Automotive Gustavsburg GmbH.

The former joint enterprise of MAN Truck & Bus AG and of the Hörmann Industries subsidiary, Hörmann Automotive GmbH, is specialised in the production of chassis, car body and mounting parts for the commercial vehicle and automotive industry. At its site in Gustavsburg the company has more than 900 employees and generates approx. EUR 180 million in sales.

With a positive competition clearance, the 40% share in Hörmann Automotive Gustavsburg GmbH held by MAN Truck & Bus AG and all production plants will be acquired completely. After the acquisition by Hörmann Industries, Hörmann Automotive Gustavsburg GmbH is expected to expand its client portfolio continuously. In doing so, the company will build on its longstanding cooperation with MAN Truck & Bus AG and will also supply it in the future. For that purpose, the two companies will enter into a framework supply agreement.

A team from the Eversheds Sutherland offices in Munich and Vienna were working for Hörmann Industries: Dr. Matthias Heisse (Partner), Wolfgang Troidl (Senior Associate, both Corporate/M&A), Dr. Arndt Scheffler (Counsel, Competition Law), Philipp Turnwald (Counsel), Sebastian Woschech (Associate, both Real Estate, all Munich) as well as Aurelius Freytag (Partner, Competition Law, Vienna).

On the side of MAN, the leading advisors were: Dr. Martin Gstaltmeyr (General Counsel, MAN Truck & Bus AG) and Arnd Kammerhoff (Real Estate, MAN SE).
