Firm Advises J.P. Morgan Cazenove and Numis on a £26m Placing by Cambian Group

Simmons & Simmons is advising J.P. Morgan Cazenove and Numis as Joint Bookrunners and Joint Corporate Brokers in connection with the placing by Cambian Group plc (“Cambian” or the “Company”) of new ordinary shares in the Company (the “Placing Shares”) with institutional investors to raise approximately £26m announced on 27 March 2015 (the “Placing”).

The net proceeds of the Placing are to be used to fund part of the cash consideration payable in connection with Cambian’s proposed acquisition of By the Bridge Limited (“By the Bridge”) announced on 27 March 2015 (the “Acquisition”).

On 27 March 2015, Cambian announced that it had agreed definitive terms to acquire By the Bridge from Apposite Capital LLP for £36m, with the cash consideration to be financed by a combination of new debt financing and a placing of new Cambian shares.
