Freshfields advises Fresenius on acquisition of Quirónsalud

The cross-border Freshfields team comprised international lawyers based in Madrid, London, Frankfurt and Munich and was led by partners Javier Monzón and Heiner Braun. Partner Yorck Jetter and Christoph Gleske led on financing matters and partner Silvia Paternain and counsel Bosco Montejo advised on the tax aspects of the transaction.

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has helped Fresenius, the global healthcare company headquartered in Germany, to acquire all shares in IDC Salud Holding S.L.U. (‘Quirónsalud’), Spain's largest private hospital operator. The deal was successfully completed on 31 January 2017 at a purchase price of €5.76 bn.

Freshfields advised Fresenius on both the acquisition and financing aspects of the deal. Financing of the acquisition was initially secured by a €3.75bn bridge loan, which Fresenius replaced in advance of the acquisition closing through the issuance of loan notes, Eurobonds and a synthetic convertible bond in an aggregate amount of €4.1bn.
