Freshfields Bruckhaus Deringer LLP (‘Freshfields’) is advising Uni-Select Inc. (‘Uni-Select’) on its acquisition of The Parts Alliance from HgCapital LLP and other minority shareholders for an enterprise value of £205m. The transaction signed on 1 June 2017, is subject to regulatory approval and is anticipated to close in the third quarter of 2017.
 
Uni-Select is a leader both in the distribution of automotive refinish and industrial paint and related products in North America and in the automotive aftermarket parts business in Canada. The Parts Alliance is a UK leader in the distribution of automotive aftermarket parts. The acquisition is Uni-Select’s first acquisition outside of North America and it will provide an attractive point of entry into a new geographic market.
 
Uni-Select’s legal team on the transaction was led by Louis Juneau, Laurent Gauthier and Julien Brosseau, with support from Freshfields partner Laurie McFadden and senior associate Keith Chapman, and McCarthy Tétrault partner Patrick Boucher.
