Freshfields Bruckhaus Deringer has advised Warburg Pincus and Clondalkin Group on the sale of Clondalkin’s Specialist Packaging Division to Essentra plc.

Clondalkin SPD is a leading global provider of a broad suite of speciality secondary packaging solutions for the pharmaceutical and health & personal care industries.

Essentra is a FTSE 250 company and a leading international supplier of speciality plastic, fibre, foam and packaging products. The total cash consideration payable by Essentra is approximately US$455m. The transaction, which is subject to certain regulatory approvals, is due to complete during the first quarter of 2015.

The Freshfields team was led by London corporate partner Adrian Maguire, supported by corporate associates Antonio Laino and Marike Kuin.

Freshfields also advised Warburg Pincus and Clondalkin Group on the pre-sale reorganisation of Clondalkin SPD, which completed earlier this year.
