Slaughter and May is advising FS Africa Limited ('FS Africa') on a recommended cash offer for Lonrho plc ('Lonrho') that values Lonrho at approximately £174.5 million.
The transaction, which was announced on 15 May 2013, is to be effected by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006.
Lonrho is a conglomerate, operating in Africa, which focuses on the provision of logistics and infrastructure for the agriculture and oil and gas sectors throughout the continent.
FS Africa is a newly incorporated English company that has been established to make the acquisition. FS Africa is jointly owned and controlled by Rainer-Marc Frey and BIH S.A., a company controlled and owned by Thomas Schmidheiny.
