GrĂ¼nenthal Acquires Adhesys Medical

12 Apr 2017

Baker McKenzie advised the Grünenthal Gruppe on its acquisition of Adhesys Medical GmbH and its US subsidiary Adhesys Medical Inc. Adhesys Medical is a medical device startup company focused on the development of adhesives used in surgery. The acquisition of Adhesys Medical and its highly innovative pipeline of surgical sealants, together with the underlying technology platform, allows Grünenthal to tap into the global development and marketing rights. The transaction was signed and closed simultaneously.

Baker McKenzie comprehensively advised Grünenthal on legal matters with an international team from Germany and the US. The transaction was highly complex due to the number of sellers and the parallel acquisition of the shares in both Adhesys Medical GmbH and its US subsidiary Adhesys Medical Inc..

"With this transaction our client continues its strategy to increase and diversify its portfolio. With our cross-border strength we were in the position to support our client efficiently and successfully", comments Dr. Ingo Strauss, Corporate/M&A-partner at Baker McKenzie, who led the transaction.

Grünenthal is an independent, family-owned pharmaceutical company headquartered in Aachen, Germany. The company is present in 32 countries with affiliates in Europe, Latin America and the US. Its products are sold in more than 155 countries and approx. 5,500 employees work for the Grünenthal Group worldwide. In 2016, Grünenthal achieved revenues of approximately 1.4 billion euros.
