Heuking Kühn Lüer Wojtek advises KTG Agrar SE on participation by Fosun Group

A team of commercial law firm Heuking Kühn Lüer Wojtek led by corporate law expert Dr. Mirko Sickinger, LL.M., Partner at the firm's Cologne office, advised Hamburg-based KTG Agrar SE on a PIPE (private investment in public equity) transaction. The advice included in particular the drafting of the investment agreement and its negotiation with the investor and the drafting of the documentation for implementing the transaction.

As part of the transaction, Fidelidade - Companhia de Seguros SA, Portugal's largest insurance company and an indirect subsidiary of Fosun International Ltd., Shanghai, China, a leading, globally-focused private equity firm, undertook to acquire 620,000 shares of KTG Agrar SE from the latter's principal shareholder.
In a very short period, Fosun Group has taken out holdings in a number of well-known companies, including French tourism group Club Med, Cirque du Soleil, fashion label Tom Tailor and British travel company Thomas Cook.

With acreage of 45,000 hectares, KTG Agrar SE is one of Europe's leading producers of agricultural commodities. As an integrated supplier, the company produces agricultural commodities, renewable energies, and food. In fiscal 2014, KTG Agrar SE generated total revenue of EUR 297.7 million with EBIT of EUR 37.1 million. The company has been listed on Frankfurt Stock Exchange since November 2007 and employed more than 1,000 in 2014.
Heuking Kühn Lüer Wojtek has advised the company on an ongoing basis since 2013, in particular in corporate and capital market law.
