A team lead by Dr. Anne de Boer assisted Hengst SE, a globally operating specialist for cutting-edge filtration solutions headquartered in Munster, in the acquisition of the DELBAG business from FlaktGroup.
DELBAG engineers, manufactures and markets air filters and air filtration systems for use in commercial, industrial and residential applications. DELBAG’s headquarter is in Herne / Germany and it has further locations in the Czech Republic, France, Poland and Austria. With the acquisition, Hengst Group intends to expand its activities and to fortify its market position as the leading supplier of filtration solutions. FlaktGroup has been acquired in October 2016 by Triton Fund IV.
As part of the transaction, the DELBAG business will be carved out of FlaktGroup in the respective countries. Heuking Kuhn Luer Wojtek, together with its partners in different countries, has advised Hengst SE comprehensively regarding the acquisition including Due Diligence, negotiations including carve-out and insurance of representations and warranties (W&I Insurance), coordination of the legal counsels in the different countries involved as well as in shaping the future business relationship with the FlaktGroup.
The team of Dr. Anne de Boer has already assisted Hengst in the acquisition of Nordic Air Filtration.
