HID Global to Acquire Mercury Security, Expanding its Leadership in Access Control

25 Sep 2017

O’Melveny represented HID Global, a worldwide leader in trusted identity solutions, in its agreement to acquire Mercury Security, an OEM supplier of controllers for physical access control. Mercury’s intelligent controllers, interface boards, and software perfectly complement HID’s industry-leading readers, smart cards, and mobile IDs for opening doors. The acquisition, which is subject to regulatory approval and customary closing conditions, is expected to close by Q4 2017.

The O’Melveny team was led by partner David Makarechian, counsel Tim Hagen, and associates Chris Wheeler and Bhavreet Gill. Partner Heather Meeker, counsel Brian Danella, and associates Tom Oslovar and Courtney Hood provided intellectual property advice. Special counsel Scott Pink advised on privacy and data protection, while partner Bob Fisher and counsel Billy Abbott provided tax advice. Senior counsel Warren Fox along with associates Rebecca Cottrell and Carolyn Tran provided guidance on employee benefits, while partner Eric Amdursky and associate Ramon Ramirez provided labor and employment advice. In addition, partner Eric Zabinski provided advice on insurance matters, and partner Courtney Dyer and associate Allison Smith are providing antitrust guidance.
