Homburger advises WISeKey in the acquisition of the QuoVadis Group

On April 4, 2017, WISeKey International Holding Ltd announced that it has completed its acquisition of 85% of the equity interest in Quovadis Holdings Ltd., the holding company of a cybersecurity group with operations in several jurisdictions, including Bermuda, Switzerland, Germany and the Netherlands, for a total consideration valued at USD 17.4 m.

The consideration paid to QuoVadis' selling equity holders consisted of a cash consideration of USD 13 m, plus 1,110,000 newly issued shares with a nominal value of CHF 0.05 each in WISeKey (the "Class B Shares"), issued from WISeKey's existing authorized share capital.

QuoVadis' management continues to hold 15% of QuoVadis' equity interest. According to a shareholders' agreement entered between WISeKey and QuoVadis' management, WISeKey and QuoVadis' management have each a right to acquire and sell, respectively, the remaining 15% of the equity interest in QuoVadis in May 2018, for a consideration calculated based on QuoVadis' financial performance in 2017.

Homburger has acted as lead counsel to WISeKey and in this role advised WISeKey on the acquisition agreement with the selling equity holders and the financing of the acquisition. Homburger also coordinated local advice from Bermuda, France and the United States.
