HWL Ebsworth's Sydney office has advised Shenzhen Infinova and its Hong Kong based subsidiary, Infinova International (Infinova) on Infinova's acquisition of Australian based Swann Communications Pty Limited (Swann Communications) for approximately US$85 million. Sydney based partner, Paul Stephenson and Sanushka Seomangal (Senior Associate), led the Australian legal team, which also involved HWL Ebsworth's employment, information technology, intellectual property and tax teams in the due diligence phase of the transaction.
Infinova is an American major manufacturer of security related technology, including closed circuit television (CCTV) cameras, digital security and surveillance systems. Swann Communications is an Australian company specialising in the supply of surveillance and monitoring technology to the retail market, with a presence in over forty countries, and significant operations in the USA, Europe and Hong Kong. Swann Communications is a pioneer in Do-It-Yourself (DIY) and Smart Home solutions for both home and small businesses. The strategic acquisition of Swann Communications is intended to enhance the Infinova Group's access to wholesale and retail markets in the DIY CCTV and surveillance industry as well as the Smart Home market.
