IK Funds facilitate combination of Meyers and Løgismose

Claus Meyer and the Grønlykke family will combine their businesses. Funds advised by IK Investment Partners will form the new controlling shareholder. Dansk Vækstkapital K/S will co-invest directly in the merged group.

Bruun & Hjejle has advised funds managed by IK Investment Partners in the transaction process, including due diligence, drafting and negotiation of corporate and transaction documentation as well as the future shareholder arrangements, financing documentation, management and incentive structuring, IPR, merger control and ancillary advisory services. Dansk Vækstkapital K/S, another Bruun & Hjejle client, backed by the Danish pension fund industry, will invest alongside IK in the merged Løgismose/Meyers group.

The transaction underlines Bruun & Hjejle’s focus on complex transactions involving multidisciplinary legal, structuring, process management and negotiation/facilitation competences.

For IK Investment Partners, the transaction marks a strong return to the Danish market following their successful fundraising of the IK VII Funds, backed by Dansk Vækstkapital K/S and numerous other Danish institutional investors.

Meyers and Løgismose have both played a crucial role in the development of Danish food culture. The combined group has annual sales of approx. DKK 1 billion, and 830 employees. The current CEO of Meyers A/S, Steen Halbye, will be the new group CEO. Claus Meyer, Jacob Grønlykke and Mikael Grønlykke as well as Steen Aalund Olsen will continue to be part of the ownership structure. Furthermore, the ownership will include Merete Holst from Meyer Kantiner, Per Grupe from Grupe og Meyer as well as the management team.

Completion of the transaction is subject to legal and regulatory approvals.
