Integra LifeSciences Holdings Corporation Common Stock Offering

Davis Polk advised Morgan Stanley & Co. LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Wells Fargo Securities, LLC and RBC Capital Markets, LLC, as joint book-running managers of an SEC-registered follow-on offering by Integra LifeSciences Holdings Corporation of 4,025,000 shares of its common stock, which included 525,000 shares that the underwriters purchased pursuant to the exercise in full of their option to purchase additional shares. The net proceeds from the offering totaled approximately $152.4 million, which Integra intends to use for general corporate purposes, which may include reducing outstanding borrowings under Integra's senior credit facility and paying a portion of the purchase price for the proposed acquisition by Integra LifeSciences Corporation, Integra's wholly owned subsidiary, of Confluent Surgical, Inc., including its DuraSeal product line.
