King & Wood Mallesons has advised the US listed TransDigm Group (TransDigm) on its acquisition of the international Telair Group (Telair) for a provisional purchase price of $725 million from AAR Corp (also listed in the US).
Telair is a leading global manufacturer of on-board lifting, loading and handling systems as well as restraint systems and transport containers for the aerospace industry. The largest operating unit headquartered in Miesbach, Germany, is Telair International GmbH with some 60% of turnover and a higher percentage of the group’s profit. Telair also has shareholdings in Sweden and Singapore, subsidiaries and joint venture companies belonging to the Nordisk Group in Norway, Singapore, Hong Kong and China, as well as further operating units out of AAR Corp.´s former cargo business.
TransDigm, through its wholly-owned subsidiaries, is a leading global designer, producer and supplier of highly engineered aircraft components for use on nearly all commercial and military aircraft in service today.
