King & Wood Mallesons SJ Berwin advise Exclusive Networks Group on acquisition of Secureway

10 Dec 2013

Omnes Capital backed Exclusive Networks Group, has announced the acquisition of Secureway, a leading specialist value added distributor in the IT security and mobility industry in the Middle East. Secureway is headquartered in Dubai with an additional office in Saudi Arabia and employs 60 people in the region.

Exclusive Networks Group is a French IT security software company and a value added distributor. In August 2010, Omnes Capital (then Credit Agricole Private Equity) acquired a substantial interest in Exclusive Networks Group. Exclusive Networks Group now operates across Europe, the Middle East and Africa from over 20 offices. The acquisition creates the largest pan-EMEA value added distributor of disruptive security, unified communications and infrastructure technologies, and presents huge opportunities for vendor and reseller partners alike.

King & Wood Mallesons SJ Berwin advised Exclusive Networks Group on this transaction. Advice was provided in Dubai by Hamish Walton (Partner, Corporate M&A), Sandeep Dhama (Senior Associate, Corporate M&A), Lamia Abdelmoniem (Associate, Corporate M&A) and in Paris by Jérôme Jouhanneaud (Partner, Corporate M&A), and Imen Moustafid (Associate, Corporate M&A), Rémi Pagès (Associate), Fanny Combourieu (Partner, Tax),  Gwenaël Kropfinger (Associate, Tax), Olivier Vermeulen (Partner, Finance) and Marc Zerah (Associate, Finance).

Hamish Walton, partner in the Dubai Corporate group at King & Wood Mallesons SJ Berwin, said: "This was a complicated deal with significant cross border coordination between Paris and Dubai. We are very pleased to assist Exclusive Networks Group on this successful strategic acquisition."
