KWM advised NFME on the acquisition of AMD’s semiconductor packaging assets

On 15 October 2015, Nantong Fujitsu Microelectronics Co., Ltd. (NFME) successfully signed the share purchase agreement with Advanced Micro Devices, Inc. (AMD), a global giant in semiconductor R&D and manufacturing. Under the agreement, NFME agrees to pay US$370 million to acquire 85% of each of AMD’s Chinese subsidiary and Malaysian subsidiary (AMD Technologies (China) Co., Ltd. in Suzhou, China, and Advanced Micro Devices Export Sdn. Bhd. in Penang, Malaysia). Upon completion of the acquisition, which is estimated to occur in the first half of 2016, NFME will establish two joint ventures with AMD in Suzhou and Penang for the assembly, testing, marking and packaging (ATMP) of integrated circuits (IC).  The transaction is in the process of being approved by the relevant government authorities in China and the U.S.A.

NFME is  one of the three largest IC assembly and testing companies in China. Headquartered in the USA, AMD is a multinational computer / electronics company, specializing in the design and manufacture of  various innovative microprocessors, flash memory cards, and low power processors for the computer, telecommunications and consumer electronics industries.

KWM acted as the lead legal counsel for NFME in this transaction. With its seamless cooperation among Beijing, Shanghai and Guangzhou offices, KWM led the multi-dimensional transaction providing one-stop, high quality legal advice to the client. The project was led by partners cross different offices, including John Hou and Bob Mo (Guangzhou), Xiong Jin (Beijing), Xu Hui and Mia Qu (Shanghai).Partners Li Feng (Guangzhou), Liu Cheng and Christine Chen (Beijing) also assisted on various aspects of the transaction.
