KWM advises EagleView on agreements with Spookfish

King & Wood Mallesons has advised Eagle View Technologies, Inc. on its entry into a series of licence, royalty and equity investment agreements with ASX-listed Spookfish Limited. EagleView is owned by Vista Equity Partners, a leading private equity firm with focused investments in software, data and technology-enabled companies.

The license and royalty agreement allows EagleView to operate Spookfish’s technologies and to market, sell and distribute related output products in North America, providing it with new opportunities to grow its North American market share. In return, Spookfish will receive a royalty and a share of revenue.

Under the equity agreements, EagleView will invest A$6 million in Spookfish via unsecured, interest free convertible notes which convert into a 10% interest in Spookfish and will receive options to acquire a further interest of up to 9.9% in Spookfish. These arrangements will assist Spookfish to fund research and development of its technologies, with a view to rolling out its technologies in the North American market in the near future.

Spookfish was advised by Clayton Utz, while Kirkland & Ellis LLP also advised EagleView and Vista on US-related matters.
