Linklaters advises BayWa on majority interest in TFC Holland

05 Feb 2016

Linklaters advised BayWa on the acquisition of a majority interest in TFC Holland B.V. (TFC). TFC is a company trading in exotic fruit and vegetables at an international level and based in De Lier, Netherlands. The company has established long-term trade relations in all procurement markets for exotic fruit – predominantly for avocados, mangos, ginger and citrus fruits – as well as to European food retailers.

By acquiring the majority interest of 68.4% in TFC, BayWa continues its international growth strategy in the agricultural segment. By enlarging the portfolio in the growth market for exotic specialty fruit, in particular in the ready-to-eat segment, BayWa clearly expands its position as the leading supplier of stone fruit and other fruit to food retailers in its sales markets.

The transaction is still subject to clearing by the cartel authorities.

A Linklaters team led by Dr Rainer Traugott and Dr Florian Harder (both Corporate/M&A, Munich) advised on the transaction. The team also included Dr Carsten Grave (Competition/Antitrust, Düsseldorf), Dr Jann Jetter (Tax, Munich), Dr Olivier Gänswein (Competition/Antitrust, Düsseldorf), Mariken van Esch (Corporate/M&A, Amsterdam), Rieke Bickelmann, Stephan Hufnagel and Franziska Carolina Nebollieff (all Corporate/M&A, Munich).
