Milbank Advises ProSiebenSat.1 on Merger of Aeria Games with Gamigo

MUNICH, May 30, 2016 – The international law firm Milbank, Tweed, Hadley & McCloy LLP advised ProSiebenSat.1 Media SE on the merger of its subsidiary Aeria Games with Gamigo AG. Both companies are among the leading European games publishers. As part of the transaction, ProSiebenSat.1 is merging its 100% holding in Aeria Games Europe into Gamigo AG and will become a minority shareholder in the merged publisher with a 33 percent stake.

The joint company has a wide reach with over 100 million gamers, marketing its games in over 40 countries, with a focus on Europe and North America. The new publisher has offices in Berlin, Hamburg, Münster, Seoul, Chicago, and San Francisco.

ProSiebenSat.1 acquired Aeria Games Europe in February 2014, and since thenit has pushed ahead with a strong focus on the mobile side of the publisher’s business.

The acquisition is still subject to approval by the German Federal Cartel Office.

A Milbank team led by Martin Erhardt previously advised ProSiebenSat.1 on the acquisition of Aeria Games and has now comprehensively advised on the merger on corporate, tax and competition law in relation to the transaction.
