Norton Rose Fulbright advises on acquisition and refinancing of the Matera II windfarm

Global law firm Norton Rose Fulbright has advised Renvico Italy Srl (Renvico) and Macquarie European Infrastructure Fund 4 (MEIF 4) on the acquisition and refinancing of the 29.7 MW Matera II windfarm from Italian renewable energy company Asja Ambiente SpA.

The transaction comprised the acquisition by Renvico of the entire share capital of Meltemi Energia Srl, an SPV, and the simultaneous limited recourse refinancing provided by Société Générale and UBI Banca to the project company.

The Matera II windfarm is located in the municipality of Le Reni (Matera, Basilicata Region, Italy). It has been in operation since 2015 and features nine Vestas V117 wind turbines, with a nominal power rating of 3.3 MW each. At the time, it was the first wind energy project in Italy to employ these types of aero-generators.

Renvico is a portfolio company of MEIF 4, managed by Macquarie Infrastructure and Real Assets, a division of the Macquarie Group Ltd, the Australian-headquartered provider of asset management, banking, advisory and risk and capital solutions across debt, equity and commodities.

The Norton Rose Fulbright team was led by Milan-based partner and head of the Italian banking and energy practices, Arturo Sferruzza, assisted by senior associates Marcello Ciampi (for corporate and M&A aspects and banking aspects) and Luigi Costa (for banking aspects and in relation to the project contracts), and by associate Ginevra Biadico (for administrative law aspects and in relation to the project contracts).
