Norton Rose Fulbright advises Capital Juda on HKD1.4bn milestone investment

Norton Rose Fulbright has advised Beijing Capital Juda Limited (Capital Juda) on the issue of a combination of new ordinary shares and perpetual convertible bond securities to two strategic and financial investors, Sino-Ocean Group Holding Limited and KKR, for a total consideration of HKD1.477 billion under a specific mandate to be sought from its shareholders.

Following completion of the transaction, Sino-Ocean will own an approximate 16% stake in Capital Juda and KKR will own an approximate 12% stake in Capital Juda, in each case on a fully diluted basis. The transaction is expected to be completed by the end of 2016.

Sino-Ocean is one of the top ten Chinese real estate companies listed in Hong Kong. KKR is a leading global investment firm that manages investments across multiple asset classes.

Both Sino-Ocean and KKR are experienced investors in China’s real estate market. Their investment in Capital Juda is a milestone for Capital Juda as the extensive resources, business network and industry expertise of the investors will bring along strategic benefits and synergies to accelerate the development of Capital Juda’s business. HSBC acted as the sole financial adviser to Capital Juda.
