Norton Rose Fulbright advises Tauron Polska Energia S.A. on joint venture between TAMEH Holding and ArcelorMittal Poland

Norton Rose Fulbright has advised Tauron Polska Energia S.A. in the process of establishing a joint venture TAMEH Holding with ArcelorMittal Poland.

The company TAMEH Holding (Tauron ArcelorMittal Energy Holding), in which both capital groups will hold a 50 per cent share, will own 100 per cent of shares in two operating companies: TAMEH Polska and TAMEH Czech. The Polish operating company will include the following entities: Zaklad Wytwarzania w Dabrowie Gorniczej (ZW Nowa) [Heat Producing Plant in Dabrowa Gornicza], previously Tauron Cieplo and Elektrownia Blachownia [Blachownia Power Plant] owned by Tauron Wytwarzanie. ArcelorMittal Poland will include the entities: Elektrocieplownia w Krakowie (EC Krakow) [Krakow Power and Heating Plant].

The Czech operating company will operate the Power and Heating Plant in Ostrava.

The agreement between the companies completed on 11 August 2014 for a period of 15 years with the ability to extend it in the future.

The key objective of the planned undertaking is long term international cooperation of the companies. It also assumes development of Tauron’s power generation assets and ensuring the supply (including energy, heat, wind of blast furnace and compressed air) for ArcelorMittal’s plants.

The Warsaw team was led by energy partner Rafal Hajduk, assisted by Adam Kozlowski, Artur Jonczyk, Grzegorz Filipowicz, Konrad Kosicki, Michal Blaszkiewicz, Natalia Jankowska and Jan Grochowicz.
