Global law firm Norton Rose Fulbright has advised Transport Infrastructure Investment Company S.a r.l. (TIIC) and Grupa NDI S.A. (NDI) on the sale to Arcus Infrastructure Partners of NDI Autostrada sp. z o.o.
Arcus Infrastructure Partners holds 25.31% of shares in Gdansk Transport Company S.A. (GTC), an SPV that constructed and has a concession to operate the northern section of the A1 motorway in Poland.
The deal was the fourth largest M&A transaction in Poland by value in 2016.
TIIC specialises in investing in transport and infrastructure projects. NDI comprises a group of companies specialising in development and execution of projects in the areas of construction, energy and hydro engineering.
The Norton Rose Fulbright team was led by partner Piotr Strawa and assisted by of counsel Artur Jonczyk and senior associate Agnieszka Braciszewska. Of counsel Piotr Milczarek (PhD) advised the clients on the competition aspects of the transaction.
Norton Rose Fulbright has also advised TIIC and NDI on the execution of the pre-emptive rights to acquire 30% and 29.7% of shares in GTC from, respectively, Skanska S.A. and John Laing.
