Monitronics International, Inc., a wholly-owned subsidiary of Ascent Capital Group, Inc., acquired all of the equity interests of Security Networks, LLC from certain funds affiliated with Oak Hill Capital Partners and certain other holders.  Paul, Weiss represented Oak Hill in the transaction, which was signed and announced on July 10, 2013.

The purchase price consisted of $482.9 million (after giving effect to certain closing adjustments) plus 253,333 newly issued shares of Ascent Series A common stock (which has an agreed to value of $20 million).
