Olswang has acted for the shareholders of MergerID on its completed disposal to NYSE quoted Intralinks Holdings Inc.
MergerID was established by its founder Daniel Confino and The Mergermarket Group, a division of the Financial Times Group, publisher of the Financial Times and FT.com. The FT Group is a division of Pearson plc, the international media group.
MergerID, based in London is an online deal platform that brings together qualified M&A professionals from around the world with matching deal criteria. The platform is designed to offer a secure and confidential way for M&A advisors to find and engage the best buyers and/or capital partners for their clients. By taking these processes online, these platforms shorten timeframes and increase efficiency for buyers.
Intralinks Holdings Inc is a leading, global SaaS provider of inter-enterprise content management and collaboration solutions. With this acquisition and a further US deal announced last week for PE-Nexus, Intralinks purports to be offering an end-to-end solution for managing the full lifecycle of strategic transactions, from deal preparation, marketing and sourcing through to due diligence and execution.
Jonathan Gomer, CFO of Mergermarket, commented: "Mergermarket is very pleased that MergerID is moving to a new home, where its combination with other Intralinks assets will deliver real benefits to customers. We are grateful to our lawyers for helping us complete a small but complex deal in a highly professional and cost effective manner".
Mark Bertram, Corporate Partner at Olswang commented: "We were delighted to help Mergermarket and MergerID with this sale process. We were involved at the very outset documenting the original venture documentation and it is particularly satisfying to see this through and complete a successful exit for both partners".
The Olswang team was led by Mark Bertram, assisted by Corporate Associate Julian Pitcher, Tax Partner Mark Joscelyne and Tax Associate Elizabeth Emerson and Commercial Associate Claire Morrisey, Employment Associate Nathalie Mitchell and Corporate Trainees Wendy Lee and David Clay.
