Osborne Clarke has been appointed by Unicasim as legal Tutor of Diaman Tech S.r.l., the first issuing company on the Unicaseed portal and the first equity crowdfunding transaction realised in Italy pursuant to the new Consob regulation.
Unicaseed is the first equity crowdfunding portal registered in the special section of the Consob Register and Unicasim is the portal manager. Diaman Tech is the first issuing company and operates in the production of software to s financial brokers and asset managers in their financial analyses. Osborne Clarke assisted Diaman Tech S.r.l. in relation to all the legal and regulatory aspects for the preparation of the offer in equity crowdfunding.
The Osborne Clarke team led by Umberto Piattelli, reviewed the issuer’s offer document to verify that it was correct and complete and in particular with reference to the risks connected with the offer and advised the issuer in the drafting of its articles of association, providing for the creation of the first category of quotas in the Italian legal system (including special dedicated financial rights but excluding the voting rights).
Once the preparation of all the documentation was competed, Osborne Clarke advised the company in the adoption of the various company resolutions necessary in order to complete the preliminary operations and to approve the increase in share capital servicing the offer promoted on the portal.
