RPC has acted for the Mill Hill School Foundation on its merger with The Mount School.
The deal was led by RPC Partners Anthony Shatz and Tim Anderson, along with Associate Paul Jenkins. Partner Patrick Brodie and Senior Associate Simon Henthorn provided advice on the employment aspects of the deal.
The deal will see Mill Hill merge with The Mount School by way of a transfer of the whole of The Mount School's undertaking, assets and liabilities, including any property. The enlarged school will offer day and boarding school education for girls and boys from the age of 3 to 18.
Shatz said: "The deal presents a tremendous opportunity, in today’s highly-competitive education environment, for the two schools to create a stronger, better-resourced school, backed up by financial assets that will put them on a strong footing for the future. We advised on all aspects of the transaction, and are delighted to have worked on this deal for Mill Hill. This is another great example of the breadth and depth of service that RPC can provide in the education sector."
The deal is part of a string of recent transactions advised on by RPC's high-profile education practice, including acting for Principal of Christ the King Sixth Form College on its acquisition of a new site for its school and employment advice; its representation on the test litigation case in front of the Supreme Court regarding the nine-year rule for teachers employed at European Schools; and acting for Alpha Plus, one of the largest private education groups in the country, on the expansion of its portfolio through the purchase of Putney Park School.
Veale Wasbrough Vizards acted for The Mount School, with a team led by Partners Rob Collier and Barney Northover and assisted by Laura Chesham.
