* RPC advised on $125 million financing for the deal
RPC has advised Dialog Semiconductor Plc, one of Europe’s fastest growing publicly listed semiconductor companies, on its $310 million acquisition of iWatt.
iWatt is a leading provider of digital power management integrated circuits based in Silicon Valley in California. Its complementary technology will enhance Dialog’s leadership in power management for tablets and smartphones.
RPC advised Dialog on the $125m financing facility from Barclays and HSBC that was used to fund the acquisition, alongside cash reserves. RPC also advised on UK plc, competition and regulatory aspects of the deal.
Dialog, which is listed on the Frankfurt Stock Exchange, designs, develops and supplies mixed signal integrated circuits, with its main markets in high volume portable products such as smart phones, cell phones and other portable consumer electronic devices.
US law firm Davis Polk & Wardwell advised Dialog on the acquisition itself.
RPC’s team was led by corporate partner Tim Anderson and also included partners Karen Hendy and Gwyneth Macaulay, along with Senior Associate Ed Colville.
