18 Sep 2017

Shearman & Sterling advised J.P. Morgan, Jefferies and NatWest Markets in connection with Amigo Luxembourg S.A.’s tap offering of £75 million 7.625% senior secured notes due 2024. The notes are guaranteed by Amigo Loans Group Ltd, Amigo Loans Holdings Ltd, Amigo Loans Ltd (Amigo Loans), Amigo Management Services Ltd and R G Catering Limited.

The offering, which was conducted under Rule 144A and Regulation S under the U.S. Securities Act of 1933, as amended, closed on September 18, 2017. The proceeds from the offering were used to repay the amounts drawn under the existing revolving credit facility by Amigo Loans, for general corporate purposes, and to pay for estimated commissions, fees and other expenses in connection with the offering.

Established in 2005, Amigo Loans is a leading company in the UK guarantor loan market. The company offers personal loans guaranteed by a second individual, typically a family member or friend with a stronger credit profile than that of the borrower.

The Shearman & Sterling team included partners Apostolos Gkoutzinis (London-Capital Markets), Peter Hayes (London-Finance), Kristen Garry (Washington, DC-Tax) and Simon Letherman (London-Tax); counsel Rebecca Marques (London-Capital Markets); and associates Minkyu Park, WonJu Sul (both London-Capital Markets), Andrea Hutchinson, Joelle Wong (both London-Finance), Devon Yamauchi (Washington, DC-Tax), Sarah Moir-Porteous and Lois Howarth (both London-Tax).
