Shearman & Sterling Advises on NanoCarrier’s International Stock Offering

Shearman & Sterling acted as US counsel to NanoCarrier Co., Ltd., as issuer in the sale of 30,600 newly issued shares of its common stock, and Whiz Partners Inc., as selling shareholder in its sale of 8,400 existing shares, in a $107.6 million international offering as part of a global offering of 42,000 shares of common stock pursuant to Rule 144A and Regulation S.

NanoCarrier is one of the leading biopharmaceutical companies in the world in the application of micellar technology, focused on developing and commercializing innovative drug products, primarily for oncology applications. The company expects to use the net proceeds from the offering to expand and accelerate the clinical trial process for its product candidates, to expand its product candidate pipeline through conducting exploratory studies and to conduct other research and development activities.
