Slaughter and May advised Premier Foods plc (Premier Foods) in relation to the takeover proposals received from McCormick & Company, Inc., regarding a possible all cash offer which valued Premier Foods at approximately £537 million. The latest proposal was rejected by Premier Foods’ board and McCormick has announced that it does not intend to make an offer for Premier Foods.

Slaughter and May is also advising Premier Foods in relation to its commercial partnership with Japanese food maker Nissin Foods Holdings Co., Ltd. (Nissin), as well as Premier Foods’ relationship with Nissin as a new significant shareholder.
